    The rules for using AdCat — written in plain language, kept as short as we honestly can.

    Agreement to Terms

    These Terms of Service (“Terms”) are a binding agreement between you and AdCat LLC (“AdCat,” “we,” “us,” or “our”) governing your access to and use of the AdCat website, app, and services (together, the “Service”). The Service turns a website URL into a live Meta ad campaign and helps you manage it.

    By creating an account, clicking “I agree,” or using the Service, you accept these Terms. If you’re using AdCat on behalf of a business, you confirm you have authority to bind that business, and “you” means that business. If you don’t agree, don’t use the Service.

    Eligibility & Accounts

    To use AdCat you must be at least 18 years old and able to form a binding contract.

    • You’re responsible for the accuracy of the information you provide when you register.
    • You’re responsible for safeguarding your password and for all activity under your account.
    • Notify us promptly at support@adcat.ai if you suspect unauthorized use.
    • One person or business per account unless we agree otherwise in writing.
    • Your account is for your use or your business’s use. You’re responsible for all activity under it, including activity by anyone you give access to.

    We may refuse, suspend, or terminate accounts at our discretion, including where we believe a use case creates legal, security, platform-policy, reputation, operational, or account-safety risk.

    The Service

    AdCat analyzes a website you provide, generates ad creatives, audiences, and budgets, and — with your authorization — publishes and manages campaigns on your connected Meta Ads account. The Service is provided to assist you; you remain the advertiser of record.

    AdCat does not guarantee any specific advertising outcome, reach, conversion rate, or return on ad spend. Ad performance depends on many factors outside our control, including your offer, market, and Meta’s own systems.

    AdCat does not guarantee that your campaigns or ad account will avoid bans, suspensions, restrictions, flags, rate limits, or other enforcement actions. Meta’s advertising systems, policies, and algorithms can change at any time and are outside our control.

    Some features may be offered as beta or preview functionality. These are provided as-is, may change or be removed at any time, and may not work as expected.

    We may add, change, or remove features over time. We’ll try to give notice of material changes, but we’re not obligated to maintain any particular feature.

    AdCat applies default campaign configurations on your behalf, including budget type, placement selection, targeting parameters, and creative settings. These defaults are designed for performance but you are responsible for reviewing them before your campaign goes live. AdCat reserves the right to update default configurations as Meta’s platform evolves.

    Your Meta Connection

    To publish campaigns, you connect your Meta Ads account through Meta’s official OAuth flow and grant AdCat permission to create and manage ads on your behalf within the ad account you select.

    • You authorize AdCat to act as your agent for the campaign activities you initiate or approve.
    • Your use of Meta’s platform is also governed by Meta’s own terms, advertising policies, and data policies, which you agree to follow.
    • You can disconnect your Meta account at any time from Settings → Meta connection, which revokes our access.

    AdCat is not affiliated with, endorsed by, or sponsored by Meta. “Meta” and related marks belong to their owner.

    Your Meta Account

    Meta ad accounts are owned and controlled by Meta and are subject to Meta’s own policies, enforcement systems, moderators, and platform decisions.

    AdCat is not responsible or liable if your Meta Ads account or any campaign is banned, suspended, disabled, restricted, flagged, rate-limited, loses access, or receives any other account-level or content-level enforcement action — for any reason, whether or not connected to your use of AdCat.

    You are responsible for maintaining your Meta account in good standing and for complying with Meta’s advertising policies and community standards.

    Meta Ads API Advanced Access

    Certain features depend on Meta’s Marketing APIs and may require advanced access. By enabling these features, you represent that you have the necessary rights to manage the connected assets, and you agree to comply with the Meta Platform Terms, Marketing API Terms, and all related policies.

    • We request only the permissions necessary to deliver the features you opt into.
    • We do not sell or broker Meta Platform Data.
    • We retain Meta Platform Data only as long as needed to provide the Service.

    If Meta restricts or suspends access, some features may be unavailable. We will work to remediate and restore compliance promptly.

    Ad Spend & Billing

    There are two separate kinds of payment when you use AdCat, and it’s important to keep them distinct:

    AdCat subscription
    The recurring fee you pay AdCat for access to the Service, billed through our payment processor (Stripe) on the plan and cycle you select.
    Ad spend
    The budget your campaigns spend on Meta’s platform. This is billed directly by Meta to your own payment method on file with Meta — not by AdCat.
    • Subscription fees are billed in advance and are non-refundable except as stated below or required by law.
    • You’re responsible for all ad spend incurred on campaigns run through your account, including campaigns AdCat publishes at your direction.
    • Taxes may apply and will be added where required.
    • If a payment fails, we may suspend the Service until the balance is resolved.
    • Each subscription tier is limited to one connected Meta Ads account unless otherwise specified in your plan.

    Trials, Renewals & Cancellation

    If your plan includes a free trial, you may be required to enter a payment method to start it. Unless you cancel before the trial ends, your subscription begins automatically at the then-current rate.

    • Auto-renewal — paid plans renew automatically at the end of each billing cycle until cancelled.
    • Cancellation — you can cancel anytime from Settings → Billing. To avoid the next charge, cancel at least three days before your renewal date. Cancellations made fewer than three days before renewal may take effect for the following billing period. You keep access until the end of the current cycle.
    • Refunds — we generally don’t provide partial refunds for unused time, but reach out and we’ll do our best to be fair.
    • Chargebacks — if you dispute a charge with your bank instead of contacting us, we may suspend your account while the dispute is open and recover any resulting costs. Please reach out first; most billing issues are resolved quickly by email.

    Acceptable Use

    You agree not to use AdCat — or the ads you create with it — to do any of the following:

    • Break the law, or violate Meta’s advertising policies, community standards, or any third-party rights.
    • Advertise prohibited or restricted goods and services (e.g. illegal products, deceptive schemes, or content prohibited by Meta).
    • Promote false, misleading, hateful, harassing, or discriminatory content.
    • Infringe anyone’s intellectual property, privacy, or publicity rights.
    • Reverse engineer, scrape, overload, or interfere with the Service or its security.
    • Resell or sublicense the Service without our written permission.

    You’re solely responsible for your campaigns, the products you promote, and compliance with all laws and platform policies that apply to your advertising.

    Your Content

    “Your Content” means the website, brand assets, copy, images, and other materials you provide or that AdCat generates from your inputs for your campaigns. You keep all ownership of Your Content.

    You grant AdCat a non-exclusive, worldwide license to host, process, adapt, and display Your Content solely to operate and improve the Service and to publish the campaigns you authorize. You represent that you have the rights needed to grant this license and to use Your Content in advertising.

    You are responsible for ensuring that any website URLs, brand assets, copy, images, or other materials you submit to AdCat or publish to Meta via AdCat do not infringe the intellectual property, privacy, or publicity rights of any third party.

    AI-Generated Output

    AdCat uses automated and AI systems to generate ad copy, creative variations, audiences, and recommendations (“Output”). Subject to these Terms and your payment of fees, you may use the Output for your campaigns.

    • Output may not be unique — similar inputs can produce similar results for other users.
    • You’re responsible for reviewing Output before it runs and for ensuring it’s accurate, lawful, and on-brand.
    • Don’t rely on Output as legal, financial, or professional advice.
    • AdCat’s ad generation process is informed by ad format patterns, creative conventions, and industry best practices. Output is independently generated for your brand and does not reproduce any third-party creative.

    Our Intellectual Property

    The Service — including its software, workflows, models, interface, design, name, logo, branding, and documentation — is owned by AdCat LLC or its licensors and protected by intellectual property laws. You may not copy, reverse engineer, resell, or create derivative works from the Service except as permitted by law or a separate written agreement. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

    We welcome feedback. If you send us ideas or suggestions, you grant us the right to use them without restriction or obligation to you.

    Third-Party Services

    The Service relies on third parties — including Meta and Stripe — and may link to or integrate other services. We don’t control those services and aren’t responsible for their availability, terms, or actions. Your use of them is governed by their own agreements.

    Your use of AdCat is also governed by our Privacy Policy, which explains how we collect, use, and protect your information.

    Disclaimers

    The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

    We don’t warrant that the Service will be uninterrupted, error-free, or secure, or that any campaign will achieve particular results. You use the Service at your own risk.

    AdCat is not liable for campaign delays, failures, or interruptions caused by third-party platform outages, API downtime, or service disruptions, including those of Meta or Stripe.

    Limitation of Liability

    To the maximum extent permitted by law, AdCat and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill — including any ad spend — arising out of or related to your use of the Service.

    Our total liability for any claim relating to the Service is limited to the amount you paid AdCat for the Service in the three months before the event giving rise to the claim. Some jurisdictions don’t allow certain limitations, so some of the above may not apply to you.

    Without limiting the above, AdCat will not be responsible or liable for Meta ad account bans, suspensions, restrictions, flags, rate limits, content removals, lost account access, lost ad spend, lost business opportunities, or lost revenue connected to your use of AdCat or Meta.

    Indemnification

    You agree to indemnify and hold harmless AdCat from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Service, Your Content, your campaigns, or your violation of these Terms or any law or third-party rights.

    Termination

    You can stop using AdCat and close your account at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a way that creates risk or legal exposure for us or others.

    On termination, your right to use the Service ends. Sections that by their nature should survive — including payment obligations, disclaimers, liability limits, and indemnification — will survive.

    Governing Law & Disputes

    These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. You agree that any dispute will be resolved in the state or federal courts located in Delaware, and you consent to their jurisdiction — except where applicable law gives you the right to bring claims elsewhere.

    Before filing anything formal, please contact us — most issues can be resolved quickly by email.

    Changes to These Terms

    We may update these Terms as AdCat evolves. When we make material changes, we’ll update the “Last updated” date above and, for significant changes, notify you by email or in the app. Continuing to use the Service after an update means you accept the revised Terms.
